These terms govern the use of Vauda. By creating an account or using the platform, you agree to what follows. They are written to be read; the most important sections are those on your content, plans and payments, and liability.
By signing up or using Vauda, you (and the organization you act on behalf of) accept these Terms of Service and the Privacy Policy. If you do not agree, do not use the platform. If you use Vauda on behalf of an organization, you represent that you are authorized to bind it.
Vauda is a digital asset management platform that lets you upload material, catalog it automatically with AI, search it by meaning, organize it into galleries and groups, share it via links, and connect it to AI agents through an MCP server and an API.
An account belongs to a single organization. The administrator manages members and their roles (viewer, editor, administrator). You are responsible for keeping your credentials confidential and for the activity that occurs under your account.
API tokens and MCP connections inherit the permissions of whoever creates them and are your responsibility: keep them secret and revoke them if compromised.
You agree to use Vauda in accordance with the law and these terms. In particular, you must not:
We may suspend or close accounts that breach this section.
Your content is yours. You retain all rights to the material you upload. To provide the service, you grant us a limited, non-exclusive, revocable license to host, process, catalog, transcribe, index, generate derivatives (such as thumbnails and playback versions) and display your content to you —solely for the purpose of operating Vauda for you—.
We do not use your content to train AI models. This license ends when you delete the content or close your account.
The catalog the AI generates —descriptions, tags, transcriptions, detected text— is an automated aid and may contain errors or inaccuracies. You can edit it, complement it with your own data, or reprocess it. You are responsible for how you use that information; it does not replace your own judgment.
You can share material via links, with an optional password, download control and instant revocation. You are responsible for what you share and with whom. A revoked link stops granting access.
Vauda lets you mark usage restrictions on an asset by country and by expiry date. This feature is an aid for managing your licenses; it does not relieve you of your responsibility to comply with the license terms and regulations applicable to your material.
We work to maintain a high level of availability, but the service is provided “as is” and interruptions may occur due to maintenance or causes beyond our control. We offer support through the channels indicated in the platform.
You may cancel your subscription or delete your account at any time. We may suspend or close accounts for breach of these terms, illegal content or non-payment. When you delete your account, we remove your material in accordance with the Privacy Policy.
To the maximum extent permitted by law, the service is provided “as is,” without implied warranties of merchantability or fitness for a particular purpose. We are not liable for indirect, incidental or consequential damages or lost profits, and our total liability to you, for any cause, will not exceed the amount you paid us in the twelve (12) months before the event giving rise to the claim. We recommend keeping copies of your originals: Vauda does not replace your own backup. Nothing in these terms limits rights that the law grants you as a consumer on a non-waivable basis.
The platform, its software, its brand and its content are owned by Vauda or its licensors. These terms do not transfer any rights over them to you beyond the use of the service.
We may update these terms. When a change is material, we will notify you by a reasonable means. If you continue using Vauda after the effective date, you will be deemed to accept the updated terms.
These terms are governed by the laws of Chile. Any dispute will be submitted to the competent courts of Santiago, Chile, without prejudice to the rights your country's law grants you as a consumer.
